A revamp of the antitrust merger review form will put “less burden” on merging companies than indicated in federal regulators’ initial proposal, a DOJ official said.
The US Federal Trade Commission and the Department of Justice last year announced proposed changes to the Hart-Scott-Rodino form, which merging companies file to secure approval for deals valued over $119.5 million. Under the proposal, companies would have had to disclose their history of labor law violations, previous acquisitions, and other information currently beyond the scope of the HSR process.
