Musk Barred From Using Advice of Counsel Defense in Twitter Suit

Elon Musk‘s desire to keep his attorney-client communications private isn’t compatible with asserting a “good faith” defense to claims he concealed his Twitter stock purchases before he acquired the company now known as X Corp., a judge ruled Thursday.

Musk, two of his funds, and an associate “are precluded from offering evidence or argument that they relied on the advice of counsel or had a good faith belief in the lawfulness of their conduct after they consulted counsel on April 1, 2022,” Magistrate Judge Gabriel Gorenstein said for the US District Court for the Southern District of New York. ...
