Synopsys Inc. said it has reached an agreement with Elliott Investment Management and is appointing the activist investor’s Jesse Cohn to the chip-design software maker’s board.
Under the settlement, Elliott has agreed to standstill and voting commitments. Cohn, a managing partner at Elliott who has served on other tech company boards, will join the Synopsys board on June 1, the company said in a statement Wednesday. He will also serve on the corporate governance and nominating committee. His appointment will expand Synopsys’ board to 11 members.
